1893 Nova Scotia Chapter 141 - An Act to authorize the Sale of the Yarmouth and Annapolis Railway, formerly the Western Counties Railway, in the Province of Nova Scotia, to the Windsor and Annapolis Railway Company, limited

An Act was approved by the Nova Scotia legislature on April 28th 1893 to allow the Windsor and Annapolis Railway to purchase the Yarmouth and Annapolis Railway (formerly known as the Western Counties Railway).

Chapter 141.

An Act to authorize the Sale of the Yarmouth and Annapolis Railway, formerly the Western Counties Railway, in the Province of Nova Scotia, to the Windsor and Annapolis Railway Company, limited.

(Passed the 28th day of April, A. D. 1893.)

Summary of the Act:

Preamble - The Western Counties Railway was incorporated by the province of Nova Scotia in 1870 to build a railroad from Yarmouth to Annapolis, and built and operated such a railroad, or a portion of it.

In 1887, the parliament of the Dominion of Canada passed legislation declaring the Western Counties Railway to be "works for the general advantage of Canada" and subjecting the railway to the legislative authority of the parliament of Canada, subject to a provision that legislation of Nova Scotia authorizing the operation and running of the railway would remain in force as long as was not inconsistent with the federal acts.

In 1893, the parliament of Canada changed the name of the company to "Yarmouth and Annapolis Railway Company".

The Yarmouth and Annapolis Railway Company now desired to sell its entire undertaking to the Windsor and Annapolis Railway Company, limited.

The legislature of the province of Nova Scotia found it expedient to authorize the sale as far as the legislature's powers extended.

Section 1 - authorized the sale following a vote in favour by the majority of the shareholders of the Yarmouth and Annapolis Railway Company's shareholders.

Section 2 - required the transfer to be sealed and signed by the president of the Yarmouth and Annapolis Railway Company. All the property, franchises, rights, powers, etc. would then be transferred to the Windsor and Annapolis Railway Company, limited. The Windsor and Annapolis Railway Company, limited, then would become liable for all the obligations to operate and maintain the railway acquired from the Yarmouth and Annapolis company, and would assume responsibility for any actions taken against the Yarmouth and Annapolis company.

Section 3 - the resolution passed in favour of the sale by the shareholders of te Yarmouth and Annapolis company was to be taken as conclusive evidence that the sale was true.

Section 4 - the Yarmouth and Annapolis Railway Company may take payment for the whole or any portion of the price of its property: ordinary shares, preference shares, bonds or debenture stock in the Windsor and Annapolis Railway.
